These Document Sharing Terms & Conditions form a legal contract between you and us, Netwealth Investments Limited (ABN 85 090 569 109), with our principal place of business at Level 6, 180 Flinders Street, Melbourne, VIC 3000 ("Netwealth”), in relation to your use of Document Sharing (“Terms & Conditions”). 

These Terms & Conditions apply to your use of Document Sharing. By using Document Sharing, you are also agreeing to the terms and conditions governing the use of the Netwealth website, which can be found at https://www.netwealth.com.au/web/terms-and-conditions/ including but not limited to the “Use of the website” section of such terms which incorporate by reference the Privacy Policy,  Security Statement and Cookie Policy linked within such terms (collectively, “Website Terms”).

These Terms & Conditions are in addition to the Website Terms. In the event of a conflict between these Terms & Conditions and the Website Terms, these Terms & Conditions shall prevail only to the extent of the inconsistency and only with respect to your use of Document Sharing.

It is important that you read and understand these Terms & Conditions and the Website Terms before using Document Sharing, as your use of Document Sharing indicates your continued acceptance of these Terms & Conditions and the Website Terms. You acknowledge that you will not receive a paper copy of these Terms & Conditions or the Website Terms from Netwealth. These Terms & Conditions are accessible at any time within Document Sharing or at https://www.netwealth.com.au/web/terms-and-conditions/document-sharing/

1. Purpose of the Agreement: You have agreed with your Nominated Financial Adviser (“Adviser”) that you would like to utilise Netwealth’s feature known as “Document Sharing” to communicate with your Adviser and to receive Materials, including information, from your Adviser.

2. Definitions:

In this Agreement, the capitalised terms have the following meanings:

2.1 Devices means any computer, mobile device, or other electronic equipment used to access our services, including without limitation:
(a)    desktop computers, laptops, and workstations; and
(b)    Mobile Devices (as defined below). 
2.2  Document Sharing means the feature made available by Netwealth via the Netwealth App on your Mobile Device or via Netwealth website (subject to future availability), which provides your Adviser with the ability to notify you that Materials are available and provides you with a link to view, download such Materials, and/or communicate with your Adviser (the functionality available to you within Document Sharing is determined by your Adviser).
2.3 Materials means:
(a)    any and all documents, information, data and other items shared by you or your Adviser using Document Sharing; and
(b)    all communications with your Adviser facilitated by Document Sharing, including but not limited to communications using any chat, messaging or commenting capability, which may be between you, your Adviser and/or any other party introduced into such communications by you or your Adviser. 
2.4 Mobile Devices means smartphones, tablets, and other portable handheld devices that are enabled for cellular or wireless internet connection.
2.5 Netwealth App means the Netwealth smartphone application, available for iOS and Android.
2.6 Nominated Financial Adviser or Adviser means the financial adviser who has arranged for you to utilise Document Sharing, whether or not you hold an account at Netwealth.
2.7 Representative means: 
(a)    a related body corporate of Netwealth; 
(b)    officers, employees, agents, contractors or sub-contractors of Netwealth or of a related body corporate of Netwealth; or 
(c)    a financial, tax, accounting or legal adviser or other expert adviser to Netwealth or to a related body corporate of Netwealth.

3. Licence and Access: You have a limited, non-exclusive, non-transferable, and revocable right to access and use Document Sharing for the sole purpose of receiving Materials from, sharing Materials to, and/or communicating with, your Adviser. You agree to use Document Sharing only for its intended purpose and in keeping with any guidelines given to you by your Adviser and/or by Netwealth.

4. Acknowledgements, Representations and Warranties:

You understand that:

(a)    Netwealth may engage its Representatives to help Netwealth deliver Document Sharing;  
(b)    any questions or concerns you may have relating to the Materials or the storage of Materials by your Adviser on its systems should be directed to your Adviser;
(c)    Document Sharing requires that your Adviser have active licence(s) to use certain third party software, and for your Adviser to maintain and update the third party software, and that Netwealth has no control or supervision over the activities between your Adviser and third party software providers; 
(d)    Document Sharing is not a financial product; 
(e)    Document Sharing may only be accessed and used by you for receiving Materials from, sharing Materials to, and otherwise communicating with, your Adviser with respect to its financial services business, and the financial product advice your Adviser provides to you, whether related to your account(s) at Netwealth or otherwise (subject to your arrangement with your Adviser); 
(f)    Document Sharing is not a documentation retention tool for the Materials, and that while Document Sharing via a Mobile Device will generate a notice to you that Materials are available, the storage of Materials is the responsibility of your Adviser, and that Netwealth's automated systems facilitate the delivery of notifications and links but do not store the content of Materials, and the downloading of Materials occurs outside of Netwealth's systems; 
(g)    should you wish to retain copies of Materials made available through Document Sharing, you should download and save the Materials to Devices and technology within your control;
(h)    if the Materials do not reach you, or are in any way intercepted or captured, Netwealth is not liable for any loss resulting from such transmission (or failure of transmission);    
(i)    while Netwealth facilitates certain technical setup steps as part of the onboarding process, your Adviser is responsible for configuring your individual access to Document Sharing and Netwealth has no responsibility for ensuring your Adviser has properly set you up;
(j)    from time to time, Netwealth may notify users of further minimum Device hardware, operating system version and any specific software required to access Document Sharing;
(k)    using pre-release versions of your Device’s operating system may impact Document Sharing being available or working as it should; 
(l)    Netwealth monitors your Adviser’s activity as part of the provision, development, maintenance and support of Document Sharing;
(m)    access to Document Sharing and the Materials via your login credentials will be assumed to be authorised by all account holders who utilise the same login credentials and that if login details are shared by more than one account holder, you should not use Document Sharing unless you accept and agree to the foregoing; and
(n)    in the event of any regulatory inquiry or notice relating to Materials shared through Document Sharing, you should direct such inquiries to your Adviser. Materials are stored on your Adviser's systems and Netwealth does not access, review or retain the content of Materials. Netwealth's automated systems interact with your Adviser's systems solely for the purpose of delivering Document Sharing.

5. Restrictions on use:

5.1 You agree not to:

(a)    copy, modify, adversely affect, reverse engineer, hack into, reverse compile, decompile or disassemble any part of Document Sharing or software, or otherwise attempt to derive the source code, algorithms, methods or techniques contained within Document Sharing; 
(b)    use Document Sharing in a way that violates any laws, infringes on anyone’s rights, is offensive, or interferes with Document Sharing; or
(c)    act fraudulently or maliciously in relation to Document Sharing or software. As examples, you will not use Document Sharing or software to upload, transmit, distribute, store or otherwise make available in any way: 

(i)    files that contain viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful; 
(ii)    any material which does or may infringe any intellectual property or privacy rights of any other person; or
(iii)    any material that could be considered offensive, obscene, defamatory, abusive, or otherwise objectionable.

5.2 You acknowledge that violation of these restrictions in this clause 5 may result in the immediate termination of your access to Document Sharing.

6. Notifications:

6.1 Notifications (also called “push notifications”) are messages sent by Document Sharing to your Mobile Device, without you having to open Document Sharing.
6.2 Where available, you can opt to turn on notifications in Document Sharing, control which notifications you receive (subject to eligibility and availability) and turn off notifications. You can control how your notifications appear in your Mobile Device 'Settings'. If you have Document Sharing and notifications enabled on more than one Mobile Device, you may need to review the Settings for each Mobile Device.
6.3 Notifications are for your information only.  Technical interruptions may occur, and notifications may fail or arrive late. Netwealth cannot guarantee the accuracy or timeliness of notifications, and you should not rely on them for any purpose.

7. Fees and Charges: Using Document Sharing will not incur any additional fees charged by Netwealth. You may incur charges from your Adviser, and/or your mobile service provider for downloading and using Document Sharing. Any such charges are your sole responsibility and any matters regarding these charges should be raised with your Adviser and/or mobile service provider, as applicable.

8. Your Obligations: 

8.1 You agree that you will:
(a)    not use Document Sharing for any purpose other than to undertake legitimate communications with your Adviser;
(b)    promptly update, and keep updated: 

(i)    Document Sharing; and 
(ii)    the operating system and security software for your Mobile Device when released by the Mobile Device or system provider;

(c)    not permit any other person to store their biometric identifier on your Mobile Device;
(d)    before you sell or permanently give your Mobile Device to any person, wipe or reset your phone (or at least deregister with your Adviser from Document Sharing and delete Document Sharing) and if you have enabled a biometric identifier for access to Document Sharing, disable this feature within the app (e.g. disable TouchID or FaceID).
8.2 If you use photos to personalise your Document Sharing experience, you warrant that:
(a)    the photos used by you do not contain content which is offensive or illegal, or would be considered unacceptable for viewing by a person under 18 years of age; and
(b)    you took the photo (or are the owner of the copyright in the photo).

9. SMS: 

9.1 You agree that, by registering for Document Sharing, you may receive SMS messages to your nominated Mobile Device. Netwealth is not liable for any loss or damage you suffer as a result of any person other than you accessing those SMSs, except where such loss or damage results from our fraud, wilful misconduct or gross negligence.
9.2 You may incur charges from your mobile phone operator as a result of using Document Sharing or SMS. Any such charges are solely your responsibility.

10. Ownership: Netwealth retains all right, title, and interest in and to Document Sharing, including any improvements, modifications, and derivative works.

11. Liability: This Agreement shall commence on the effective date and continue until terminated by either party. Netwealth may terminate this Agreement at any time, with or without cause, upon providing written notice to you. In addition, this Agreement shall terminate immediately if your Adviser ceases to utilise Document Sharing generally or with respect to communications between you and your Adviser. Upon termination, you shall immediately cease using Document Sharing.

11.1 Netwealth and our related parties, together with our respective directors, officers and employees (collectively, the "Netwealth Group"), will not be responsible for any loss arising from your use or misuse of or inability to use Document Sharing, or the Materials made available through Document Sharing, including any loss:
(a)    caused by any inability and/or failure of your Device to access or use Document Sharing;
(b)    caused by you installing applications on your Mobile Device other than those available from the Apple App Store, Google Play or other location permitted by Netwealth;
(c)    due to interruption or suspension of access to Document Sharing; and
(d)    due to the Materials not reaching you, or being in any way intercepted or captured during transmission,
except to the extent any such loss results from our fraud, wilful misconduct or gross negligence.
11.2 To the extent that the Netwealth Group's liability in relation to Document Sharing cannot lawfully be excluded, our liability will be limited to an obligation to supply Document Sharing again or, if we so elect, to pay the cost of having Document Sharing supplied again.
11.3 It is your choice to download, install and/or utilise Document Sharing and there are alternative ways to receive Materials from, and communicate with, your Adviser.

12. Helpdesk: For assistance in your use of Document Sharing please call Netwealth on 1800 888 223. If you have questions specific to your Mobile Device, including data connections and cellular charges related to your Mobile Device, please contact your Mobile Device service provider.

13. Term, Suspension and Termination: This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

13.1 These Terms & Conditions shall continue until terminated by either party. 
13.2 Netwealth may suspend or terminate your use of Document Sharing, or access to any functionality within Document Sharing, without notice:
(a)    if Netwealth reasonably suspects unlawful activity or misconduct; or
(b)    if in Netwealth’s reasonable opinion it is otherwise necessary to prevent loss to you, your Adviser or Netwealth.
13.3 In addition, Netwealth may terminate these Terms & Conditions at any time, with or without cause, upon providing written notice to you. 
13.4 If your Adviser ceases to utilise Document Sharing generally or with respect to communications between you and your Adviser, these Terms & Conditions will automatically terminate.
13.5 Upon termination, you shall immediately cease using Document Sharing. 
13.6 While you may delete Document Sharing at any time, your Adviser will not be notified of such deletion. If you wish to cease using Document Sharing to communicate with your Adviser, you are responsible for informing your Adviser and making appropriate arrangements with your Adviser to ensure you continue to receive Materials from your Adviser. 
13.7 The following provisions shall survive termination of these Terms & Conditions:
(a)    clause 2 (Definitions)
(b)    clause 8.1(d) (Device wiping obligations)
(c)    clause 4 (Ownership)
(d)    clause 11 (Liability); and
(e)    this clause 13.7 (Survival).

14. Quality of Service:

14.1 The provision and subsequent use of Document Sharing is subject to the reliability and availability of third party service providers including software providers and network service providers. 
14.2 In addition, Document Sharing may be unavailable from time to time and temporary service interruptions may occur. In the event you need to access Materials during this time and it is unavailable for any reason, you should contact your Adviser. 

15. Mobile Device Operating System Provider (Access to Document Sharing via Mobile Device): 

15.1 You acknowledge that these Terms & Conditions are between Netwealth and you, and not Apple Inc (Apple) or Google Inc. (Google), or other mobile operating system provider as the case may be (“your Mobile Operating System Provider”). 
15.2 You are given a non-transferable licence to use Document Sharing on your Mobile Device in accordance with these Terms & Conditions and any terms and conditions that your Mobile Operating System Provider may impose.
15.3 Subject to these Terms & Conditions, Netwealth is solely responsible for Document Sharing, and your Mobile Operating System Provider is not responsible for Document Sharing in any way.
15.4 To the maximum extent permitted by law, your Mobile Operating System Provider does not have any warranty obligations whatsoever with respect to Document Sharing. You agree that Netwealth, and not your Mobile Operating System Provider, is responsible for:
(a)    addressing any claims by you or a third party in relation to Document Sharing, including but not limited to product liability claims, claims that Document Sharing fails to conform to legal or regulatory requirements or consumer protection claims;
(b)    investigating any claim that Document Sharing breaches third party intellectual property rights, and for defending, settling or discharging such claim;
(c)    maintenance and support services for Document Sharing.
15.5 You represent and warrant that you are not accessing, and will not access, Document Sharing from a country that is subject to a US government or Australian government embargo or is designated by such government as a “terrorist supporting” country, and you are not listed on any list of prohibited or restricted parties and/or appear on any sanctions or denied persons lists.
15.6 You must comply with all third party service providers’ terms of use (for example, software providers and network service providers) when using Document Sharing. 
15.7 You agree that your Mobile Operating System Provider and its subsidiaries are third party beneficiaries of this clause 15 of these Terms & Conditions and that Your Mobile Operating System Provider has the right (and will be deemed to have accepted the right) to enforce these Terms & Conditions against you as a third party beneficiary.
