Students wishing to participate in the 2019 ‘Make it. Break it’ Swinburne Design Sprint at Swinburne University of Technology with MASS and Netwealth must confirm your agreement to the following participation terms. 

Following the Design Sprint, Netwealth may explore developing the results further and as part of this Netwealth may, in its discretion, extend an employment opportunity to you, or otherwise collaborate with you, on terms that would be agreed in writing.

To allow this to happen, the terms below give Netwealth certain rights to material you create as part of the Design Sprint including ideas, designs, concepts, names, styles, techniques, or other information (this is your ‘Intangible Sprint Output’), and any textual works, computer programs, prototypes, artistic creations or other records or works (your ‘Tangible Sprint Output’). Any copyright that has arisen in your Tangible Sprint Output will continue to be owned by you, and so you will be able to use your Tangible Sprint Output for other purposes within Australian copyright law and the terms below. Licence

For a period of 12 months following the Design Sprint, you agree to grant an exclusive, worldwide, irrevocable, fee-free licence for Netwealth (Netwealth Investments Limited, ABN 85 090 569 109 AFSL No 230975) or its associate to:

1. use, reproduce, publicise, distribute or sublicense your Tangible Sprint Output or Intangible Sprint Output; and
2. adapt, modify, develop, or create derived works or intellectual property from your Tangible Sprint Output or Intangible Sprint Output,

for any purpose which may include marketing, educational or promotional purposes or Netwealth’s commercial purposes. During this period you must not grant rights to any other person, or to undertake the activities in paragraphs (a) and (b) yourself or with others, in relation to your Tangible Sprint Output or Intangible Sprint Output.

Ownership

You agree that Netwealth will be sole owner of, and will hold all rights to, any products, services, intellectual property or derived works that Netwealth develops using the licence you are granting, and will be entitled to any resulting benefit.

Publication of Design Sprint results

You agree that during the licence period Netwealth may use and publish your name and image, and may reference your Tangible Sprint Output or Intangible Sprint Output, for internal or external marketing or promotional purposes over any medium, including via direct and indirect marketing and social media channels, in hard copy material, at events in which Netwealth participates, and on Netwealth’s website (www.netwealth.com.au). 

You also confirm you understand that Netwealth is listed on the Australian Securities Exchange and so strict rules apply about when, how and to whom Netwealth can share information about innovations in its products and services. You agree that should Netwealth engage with you regarding potential future opportunity to further develop your ideas, you must keep that approach and the details confidential, and must not make any public disclosure (including via social media) about that potential opportunity until Netwealth has consented in writing.
